  1. TAA AND FEDERAL COMPLIANCE

FedMicro LLC supports federal procurement requirements and offers TAA-compliant products where specifically identified, quoted, or required.

TAA compliance is determined on a product-by-product basis and may depend on the country of origin, manufacturer certification, applicable contract requirements, and current federal regulations.

A product should not be assumed to be TAA compliant unless FedMicro LLC specifically identifies or confirms it as such.

Where applicable, FedMicro LLC may also support procurement requirements involving FAR, DFARS, Section 889 of the National Defense Authorization Act, Section 508 accessibility, VPAT documentation, supply-chain integrity, and other federal purchasing requirements.

Customers are responsible for informing FedMicro LLC of any specific contractual, regulatory, agency, country-of-origin, security, accessibility, or compliance requirements before placing an order.

  1. QUOTATIONS

Unless otherwise stated, quotations issued by FedMicro LLC are subject to product availability, supplier confirmation, applicable taxes, freight charges, manufacturer price changes, and other stated conditions.

Quotes may include an expiration date. After that date, pricing and availability may require reconfirmation.

A quotation does not constitute acceptance of an order until FedMicro LLC confirms the order.

  1. ORDERS

All orders are subject to acceptance by FedMicro LLC.

FedMicro LLC may decline, cancel, or place an order on hold because of product availability, pricing errors, compliance requirements, payment verification, credit concerns, manufacturer restrictions, suspected fraud, export restrictions, or other legitimate business reasons.

An automated order confirmation does not necessarily constitute final acceptance of an order.

  1. GOVERNMENT AND CONTRACTOR ORDERS

FedMicro LLC may accept purchase orders from government agencies, prime contractors, subcontractors, educational institutions, public-sector organizations, and approved commercial customers.

Terms contained in a customer's purchase order that conflict with FedMicro LLC's quotation or these Terms Conditions will not automatically become binding unless expressly accepted in writing by an authorized representative of FedMicro LLC.

For orders placed under a specific government contract, solicitation, subcontract, or other negotiated agreement, the applicable contract terms will control to the extent they conflict with these website Terms Conditions.

  1. PRICING

Prices are subject to change without notice until an order has been formally accepted.

FedMicro LLC reserves the right to correct typographical errors, pricing errors, incorrect discounts, inaccurate product data, or supplier-related pricing discrepancies.

If an error affects an order, FedMicro LLC may contact the customer for approval of corrected terms or cancel and refund the affected transaction.

  1. PAYMENT TERMS

Payment terms may vary depending on the customer, order value, credit approval, government procurement method, quotation, or contractual arrangement.

FedMicro LLC may accept approved payment methods including purchase orders, electronic payments, credit cards, ACH, wire transfers, or other authorized methods.

Credit terms, if offered, are subject to approval and may be changed or withdrawn based on payment history or credit conditions.

  1. TAXES

Customers are responsible for applicable sales, use, excise, or similar taxes unless a valid tax-exemption certificate or other appropriate documentation is provided and accepted.

Government customers and other tax-exempt organizations should provide valid exemption documentation when required.

  1. PRODUCT AVAILABILITY

Product availability is not guaranteed until confirmed.

Inventory information may change rapidly due to manufacturer allocations, distributor inventory, supply-chain conditions, discontinued products, federal purchasing restrictions, or other circumstances.

FedMicro LLC may offer an equivalent or replacement product only with customer approval when required.

  1. SHIPPING AND DELIVERY

Shipping dates and delivery estimates are provided in good faith but are not guaranteed unless expressly agreed in writing.

Delivery may be affected by manufacturer delays, distributor availability, transportation conditions, weather, government restrictions, carrier delays, supply-chain disruptions, or other circumstances outside FedMicro LLC's reasonable control.

Customers are responsible for providing accurate shipping information.

Additional fees may apply for expedited shipping, special handling, inside delivery, lift-gate service, oversized products, hazardous materials, international shipping, or other specialized delivery requirements.

  1. TITLE AND RISK OF LOSS

Unless otherwise specified in an applicable contract or written agreement, title and risk of loss pass in accordance with the applicable shipping terms and carrier arrangements.

Government contract terms will control where they establish different title or risk-of-loss requirements.

  1. ORDER INSPECTION

Customers should inspect shipments promptly after delivery.

Any visible shipping damage, shortages, incorrect products, or other delivery discrepancies should be reported to FedMicro LLC as soon as reasonably possible.

Customers should retain packaging, shipping labels, photographs, and related documentation when reporting damaged or incorrect shipments.

  1. RETURNS

Returns are subject to FedMicro LLC's Return Policy and any applicable manufacturer or distributor restrictions.

Certain products may be non-returnable, including specially ordered products, configured products, customized products, software licenses, opened software, consumables, clearance products, discontinued products, manufacturer-restricted products, and other items designated as non-returnable.

Return authorization must generally be obtained before returning merchandise.

Unauthorized returns may be refused.

  1. WARRANTIES

Products are generally covered by the applicable manufacturer's warranty, if any.

Unless expressly stated otherwise in writing, FedMicro LLC does not independently manufacture the products sold through its website.

Warranty claims may be handled directly by the manufacturer or through FedMicro LLC depending on the product, manufacturer, distributor, and applicable contractual requirements.

  1. AUTHENTICITY AND SUPPLY-CHAIN INTEGRITY

FedMicro LLC is committed to sourcing genuine products through reputable manufacturers, authorized distributors, established suppliers, and traceable supply channels.

FedMicro LLC does not knowingly supply counterfeit products.

Where required by a contract or customer request, additional product traceability or supply-chain documentation may be provided subject to availability.

  1. SOFTWARE AND LICENSED PRODUCTS

Software, subscriptions, cloud services, licenses, and digital products may be subject to separate manufacturer, publisher, or licensor terms.

By purchasing or activating such products, the customer may also be required to agree to the applicable end-user license agreement or service terms.

Digital products and software licenses may be non-cancellable and non-returnable after issuance or activation.

  1. INTELLECTUAL PROPERTY

The FedMicro LLC name, logo, website design, original content, graphics, and other proprietary materials are protected by applicable intellectual-property laws.

Manufacturer names, logos, trademarks, product names, and images remain the property of their respective owners.

Nothing on this website grants any license or ownership rights except as expressly authorized.

  1. THIRD-PARTY INFORMATION AND LINKS

The website may contain information, content, or links provided by manufacturers, distributors, suppliers, government agencies, or other third parties.

FedMicro LLC is not responsible for the accuracy, availability, security, or content of third-party websites or resources.

  1. LIMITATION OF LIABILITY

FedMicro LLC will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, severe weather, war, terrorism, civil disturbances, labor disruptions, cyber incidents, government actions, transportation interruptions, supplier failures, telecommunications outages, pandemics, or supply-chain disruptions.

  1. FRAUD PREVENTION

FedMicro LLC reserves the right to verify customer identities, addresses, payment information, purchase orders, government credentials, company information, and other transaction details.

Orders may be delayed, declined, or cancelled where fraud, impersonation, unauthorized purchasing, payment irregularities, or suspicious activity is suspected.

  1. EXPORT CONTROL

Products sold by FedMicro LLC may be subject to United States export-control laws and regulations.

Customers are responsible for complying with applicable export, re-export, end-user, end-use, sanctions, and destination restrictions.

Products may not be exported or transferred in violation of U.S. law.

  1. PRIVACY

Collection and use of personal and business information through the FedMicro LLC website are governed by our Privacy Policy.

  1. GOVERNING LAW
